1. Introduction and Acceptance of Terms
1.1 Agreement
These Terms of Service (the "Terms") govern your use of the Byte Hub platform, owned and operated by Byte Hub. By accessing or using the Platform, you agree to be bound by these Terms.
1.2 Relationship
These Terms constitute a binding legal agreement between you and Byte Hub.
1.3 Eligibility
You must be at least 18 years old to register as a Tutor or Student on the Platform. If you are under 18, a parent or legal guardian must register on your behalf and accept these Terms.
2. The Platform and Our Role
2.1 Byte Hub's Function
Byte Hub operates solely as an online marketplace and intermediary platform that connects Students seeking tutoring services with Tutors offering those services.
2.2 No Provision of Education
Byte Hub does not provide educational instruction, nor is it responsible for the content, quality, or delivery of any tutoring services. Tutors and Students interact and contract directly with each other.
2.3 No Guarantee
Byte Hub makes no guarantees regarding the performance or success of any tutoring session, the academic results of any Student, or the income potential of any Tutor.
3. Tutor–Byte Hub Independent Contractor Status
3.1 Independent Contractor
The relationship between Byte Hub and the Tutor is strictly that of independent contractors. Nothing in these Terms or the Tutor's use of the Platform shall be construed as creating an employer-employee relationship, partnership, joint venture, or agency relationship between the Tutor and Byte Hub.
3.2 No Employment Benefits
The Tutor acknowledges and agrees that they are not an employee of Byte Hub and are not entitled to any employment benefits, including but not limited to salary, wages, insurance, workers' compensation, unemployment benefits, or tax withholding.
3.3 Tax Responsibility
The Tutor is solely responsible for all income tax, social security, insurance, and other self-employment tax filings and payments required by law in their jurisdiction.
3.4 Tutor Control
The Tutor retains the sole right to determine: (a) their work hours and schedule, (b) the rate they charge Students, (c) their teaching methods, and (d) their decision to accept or decline a tutoring request. Byte Hub may suggest standards and rates but the final decision rests with the Tutor.
3.5 Non-Exclusivity
Tutors are free to offer their services to other clients or through other platforms, including those that may be competitive with Byte Hub.
4. Tutor Onboarding and Approval Fee
4.1 Approval Process
All Tutors must successfully complete Byte Hub's approval process, which may include background checks, qualification verification, and a demo lesson.
4.2 Administrative / Listing Fee
Tutors are required to pay a non-refundable Administrative/Listing Fee to Byte Hub prior to final approval and activation of their profile.
4.3 Purpose of Fee
This Approval Fee is payment for the administrative costs associated with reviewing the application, vetting qualifications, setting up the Tutor's profile, and gaining access to the Platform's student-base and technology tools. The Approval Fee is NOT a guarantee of income, employment, or a refund if the Tutor is later removed for violating these Terms.
4.4 Fee Refund
The Approval Fee is strictly non-refundable once the Tutor's profile is activated, regardless of the Tutor's subsequent use of the Platform or the duration of their time listed.
5. Payments, Fees, and Commissions
5.1 Student Payment
Students pay for tutoring sessions through the Platform using the designated third-party payment processor (i.e., Paystack).
5.2 Byte Hub Commission
Byte Hub shall deduct a commission of 60% from the gross payment received for each completed tutoring session. The remaining amount will be transferred to the Tutor, subject to any scheduled payout process.
5.3 No Circumvention
Tutors and Students are strictly prohibited from soliciting or making payments outside of the Byte Hub platform for services initiated through the Platform. Violation of this clause will result in immediate termination of the accounts.
6. Code of Conduct and Prohibited Activities
6.1 Professional Conduct
All users must maintain professional, respectful, and appropriate conduct in all communications and sessions.
6.2 Academic Dishonesty
Tutors are strictly prohibited from completing assignments, writing papers, taking exams, or engaging in any activity that constitutes academic dishonesty on behalf of a Student.
6.3 User Vetting
Users acknowledge that Byte Hub does not perform criminal background checks on every user and that users are solely responsible for exercising caution and discretion when interacting with others on the Platform.
7. Indemnification and Termination
7.1 Tutor Indemnification
The Tutor agrees to indemnify, defend, and hold harmless Byte Hub from and against any claims, liabilities, costs, or damages arising from or related to the Tutor's provision of services, negligence, or breach of these Terms.
7.2 Termination by Byte Hub
Byte Hub reserves the right to suspend or terminate any account, with or without notice, if a user violates these Terms, including but not limited to the Code of Conduct or the No Circumvention clause.
7.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana.
